Terms of Business

1. Introduction

These Terms and Conditions (“Terms”) apply to all products and services provided by Fusion IT (“we”, “us”, or “our”) to the client (“you” or “your”). By accepting a quote, placing an order, or making payment, you agree to be bound by these Terms.

2. Services

We provide IT support, managed services, consultancy, and related solutions as described in your service agreement, proposal, or invoice.

3. Quotations and Pricing

All quotations are valid for 30 days unless otherwise stated. Prices exclude VAT unless clearly specified. Any additional work not included in the original quotation will be chargeable at our standard hourly rate unless agreed otherwise in writing.

4. Payment Terms

  • All invoices are due for payment within 30 days unless otherwise agreed in writing.
  • Failure to pay on time may result in:
    • Interest being charged on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
    • A fixed late payment fee of £40 for debts under £1,000, £70 for debts between £1,000 and £10,000, or £100 for debts over £10,000.
    • Suspension or termination of any ongoing or subscription-based services until the outstanding balance is cleared.

5. Subscription and Internet Services – Payment and Suspension

For any subscription-based services (including managed IT services, VoIP, cloud solutions, or internet services), failure to pay within the agreed period may result in:

  • Suspension of access to services after 7 days of non-payment beyond the invoice due date.
  • Termination of services after 30 days of non-payment beyond the invoice due date.
    We reserve the right to recover all unpaid fees up to the date of termination, including reasonable costs incurred for reactivation or debt recovery.

6. Client Responsibilities

You are responsible for:

  • Providing accurate information and access to systems where required.
  • Backing up your data unless this is included in a managed service plan.
  • Ensuring you have appropriate licenses for software used within your business.

7. Limitation of Liability

We will not be liable for:

  • Loss of profits, business, or anticipated savings.
  • Indirect, special, or consequential losses.
    Our total liability shall not exceed the amount paid for the specific service that gave rise to the claim.

8. Confidentiality

Both parties agree to treat all information shared during the course of the engagement as confidential and not to disclose it to any third party unless required by law.

9. Termination

Either party may terminate an agreement with 30 days’ written notice unless otherwise stated in a service contract. Immediate termination may occur if:

  • You breach any of these terms,
  • You become insolvent or enter liquidation,
  • You fail to pay outstanding invoices within the stated timeframe.

10. Data Protection

We handle all personal and client data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our full privacy policy is available upon request.

11. Force Majeure

We are not liable for failure or delay in delivering services due to circumstances beyond our reasonable control, including but not limited to natural disasters, power failures, strikes, or government restrictions.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.

13. Amendments

We reserve the right to update these Terms at any time. The latest version will always be available at fusionit.uk/terms-of-business. Continued use of our services implies acceptance of the latest version.
